Website Technical Maintenance Terms & Conditions

Hereafter, the person/organisation/company purchasing the “Technical Maintenance Plans” from http://www.voofa.ca or http://www.websitedesign-toronto or any of the direct/ redirect link to this page will be referred in this document as “Client” and VOOFA Inc. as the “Maintenance Service Provider”.

This agreement is based on any past, present and or future service(s) provided by the Maintenance Service Provider for the Client.

1. Authorization

The Client is engaging the Maintenance Service Provider, as an independent contractor for the specific purpose of maintaining & updating a World Wide Web site that is existing or a World Wide Web site that is installed on the Client’s web space located on a hosting server of Clients choice. If need be, the Client hereby authorizes the Maintenance Service Provider to access this account, and authorizes the Host Provider to provide the Developer with “write permission” for the Client’s web page directory, cgi-bin directory, and any other directories or programs which need to be accessed. The client also authorizes the Maintenance Service Provider to use the login information to access the Domain, DNS, MX, and the Hosting account.

2. Monthly Updates

The Client agrees to let the Maintenance Service Provider update and maintain their WordPress website on a Weekly & Daily basis. The Client understands that the Maintenance Service Provider will make changes to the coding, database, feeds and all the other technical and non-technical features – as mentioned on this page to improve the overall exposure and performance of the website.

3. E-mail Assistance

The Maintenance Service Provider does not offer any e-mail assistance such as email setup, creation, managing, email application configurations for Office 360, Outlook, iPhone, Androids or any related services. The Client is urged to contact their ISP (Internet Service Provider) or their website hosting or email provider for email assistance. The Client agrees that the Maintenance Service Provider will render only technical website maintenance services as mentioned on this page under each plan.

4. Content: Links, Text, Graphics, Videos, files

This agreement contemplates that all the Links, Texts, Graphics, Videos, Files (the overall content) that are being used on the website including any social media content that is being used by the Client have been verified and approved for use on the Client’s World Wide Web site. The Maintenance Service Provider takes absolutely NO RESPONSIBILITY in ANY suit(s) that are directed to the Client from content that have not been approved for use on the Clients World Wide Web site.

5. Cross Browser Compatibility

Our agreement contemplates the updates on a web site and social media are viewable by, Microsoft Internet Explorer 7.0+, Google Chrome. Compatibility is defined herein as all critical elements of each page being viewable in both browsers. Client is aware that some advanced techniques on the Internet, however, may require a more recent browser version and brand or plug-in. Client is also aware that as new browser versions of Internet Explorer and Chrome are developed, the new browser versions may not be backward compatible. If requested by the Client, time spent to redesign a site or fixing any issue for compatibility due to the introduction of a new browser version will be separately negotiated.

6. Third Party Applications

The Client agrees to pay all the fees incurred directly or indirectly for third party applications such as paid plugins, widget and interfaces. The Maintenance Service Provider only offer maintenance for such applications and do not own or license any third party applications. The Client must pay such fees directly to the third party application developer.

7. Payment Terms

The Client agrees to pay the requested amount on this page in advance for each month. Maintenance Service Provider reserves the right to hold the monthly services if payment is not made within five (5) days after the due date. If a payment delay is anticipated, please contact the Maintenance Service Provider to discuss potential problems in advance. If problems are anticipated, we may be able to accommodate an alternate arrangement. If the Client is delinquent in their payment, the proper actions may be taken by the Monthly Service Provider and the account may be handed over to a 3rd party Collections Agency for proper handling.

8. Client Amends for New World Wide Web Sites, Social Media, Updates and Maintenance

The Maintenance Service Provider prides itself in providing excellent customer service. That is the spirit of our agreement and the spirit of the Maintenance Service Provider’s business. To that end, we encourage input from the Client during the Monthly Update process. The Monthly Service Provider understands, however, that the Client may request significant design changes to pages that have already been built and are bring maintained. To that end, please note that our agreement does not include a provision for web development in excess of our agreement. Our Maintenance plans are technical tune-up plans and NOT website design or content update plans.

Some examples of significant page modification at the request of the Client include:

  1. Developing a new structure to accommodate a substantial redesign at the Client’s request.
  2. Recreating or significantly modifying the company logo graphic at the Client’s request.
  3. Uploading and Replacing text, images to any given page at the Client’s request.
  4. Creating a new navigational structure or changing the link graphics at the Client’s request.
  5. Significantly reconfiguring the Client’s shopping cart with new product, shipping or discount calculation if an e-commerce enabled site has been selected by the Client.
  6. Clients who anticipate frequently changing the look of their site and are encouraged to buy our “Virtual Assistance” Plan.
  7. Any content update on the website.

If significant development is requested by the Client in excess of our agreement, charge(s) will be invoiced accordingly.

9. Copyrights and Trademarks

The Client represents to the Maintenance Service Provider and unconditionally guarantees that all the elements of text, graphics, photos, designs, trademarks, videos or other artwork displayed and published on the Client’s web site are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend the Maintenance Service Provider and its subcontractors from any claim or suit arising from the use of such elements published by the Client.

10. Third Party or Client Site Modification

Some Clients may desire to independently edit or update their web pages as a way to control costs and avoid the expense of a Maintenance Agreement. This is always an option for Clients of the Maintenance Service Provider. If the Client desires this capability, it will be specified in writing to the Maintenance Service Provider.

Note however, that if this option is selected and the Client or an agent of the Client other than the Maintenance Service Provider attempts to update the web site and damages the design or impairs the ability for the web pages to display or function properly, time to repair the web pages will be assessed at the hourly rate of $120.

11. Search Engine Registration

The Maintenance Service Provider will optimize the Client’s World Wide Web site and thereafter submit the Client’s World Wide Web to free search engines and directories.

12. Assignment of Monthly Updates

The Maintenance Service Provider reserves the right to assign certain subcontractors to this monthly updates to insure the right fit for the job as well as on-time completion. The Maintenance Service Provider warrants all work completed by subcontractors for consistent updates.

13. Additional Expenses

Client agrees to reimburse the Maintenance Service Provider for any critical Client requested expenses necessary for the completion of the monthly/weekly updates. Examples would be: The purchase of specific fonts; the purchase of specific photography; the purchase of specific software; submittal to specific search engines at the Client’s request; SEO in excess to regular updates.

14. Age

Authorized representative of the Client certifies that he or she is at least 18 years of age and legally capable of entering a contract in the Province of Ontario on behalf of the Client.

15. Maintenance Service Assistance

The Client understands that Website Technical Maintenance and One Shot Tune Up are done by the Maintenance Service Provider on a periodic basis depending on the size of the website. Any request by the Client in excess to the maintenance plans must be submitted via only email between 10 AM to 4 PM, Mon – Fri. Any request received after 4 PM will be considered as a request for the next day. The client agrees that to process such requests, the Maintenance Service Provider may take 3  to 5 business days depending on the request queue.

16. Limited Liability

The Client agrees that any website, content, material submitted for publication and maintenance will not contain anything leading to an abusive or unethical use of the Web Hosting Service, the Host Server or the Maintenance Service Provider. Abusive and unethical materials and uses include, but are not limited to, pornography, obscenity, nudity, violations of privacy, computer viruses, harassment, any illegal activity, spamming, advocacy of an illegal activity, and any infringement of privacy. The Client hereby agrees to indemnify and hold harmless the Maintenance Service Provider from any claim resulting from the Client’s publication of material or use of those materials. It is also understood that the Maintenance Service Provider will not publish information over the Internet which may be used by another party to harm another. The Maintenance Service Provider will also not develop pornographic or illegal software for the Client. The Maintenance Service Provider reserves the right to determine what is and what is not suitable.

17. Abuse

Client agrees to work together, deal and behave with the Maintenance Service Provider in a professional manner. Any kind of repeated pattern of inappropriate, false accusations, harassment, derogatory or threatening speech directed towards the Developer, its officers, staff and contractors will not be tolerated. The Maintenance Service Provider has the right to take strict action legal steps, abiding the law and resume the maintenance process and any related services right away offering no refund or guarantees to the client. Maintenance Service Provider have zero tolerance for Clients abusing services.

17. Indemnification

The Client agrees that it shall defend, indemnify, save and hold the Maintenance Service Provider harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees associated with the Maintenance Service Provider’s maintenance of the Client’s web site. This includes Liabilities asserted against the Maintenance Service Provider its subcontractors, its agents, its clients, servants, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by the Client, its agents, employee or assigns.

The Client understands and agrees that web maintenance is done on a third party plugin, interface that is saved on a third party server and failure or success of such updates depends on a number of factors such as server response time, version compatibility with other plugins, by act of god and therefore will hold the Maintenance Service Provider harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees.

The Client also agrees to defend, indemnify and hold harmless the Maintenance Service Provider against Liabilities arising out of any injury to person or property caused by any products or services sold or otherwise distributed over the Client’s web site. This includes infringing on the proprietary rights of a third party, copyright infringement, and delivering any defective product or misinformation which is detrimental to another person, organization, or business.

18. Nondisclosure

The Maintenance Service Provider, its employees and subcontractors agree that, except as directed by the Client, it will not at any time during or after the term of this Agreement disclose any Confidential Information to any person whatsoever. Likewise, the Client agrees that it will not convey any confidential information obtained about the Maintenance Service Provider to another party.

19. Cancellation Policy

Cancellation of the Maintenance Plans must be notified sixty (60) days before the cancellation date via email/mail. In the event that updates are postponed or canceled at the request of the Client by email, the Maintenance Service Provider shall have the right to retain 50% of the original payment as a deposit and maintenance expenses. In the event this amount is not sufficient to cover the Maintenance Service Provider for time and expense already invested in the maintenance, additional payment may be due. If additional payment is due, this will be billed to the Client within 10 days of notification via email to stop monthly updates. Final payment will be expected under the same terms as listed in this agreement.

20. Entire Understanding

These terms thereto constitute the sole agreement between the Maintenance Service Provider and the Client regarding any development provided by the Maintenance Service Provider for the Client. It becomes effective immediately upon engagement of services from the Maintenance Service Provider or buying Maintenance Plans as mentioned on this page. It is the spirit of this agreement that this will be a mutually beneficial arrangement for the Client and the Maintenance Service Provider. Both parties warrant that they have read and understand the terms set forth in this agreement.

This agreement is effective on all the Clients that buy Maintenance Plan from our website.

21. REVISIONS TO THESE TERMS OF AGREEMENT VOOFA | VOOFA.ca | Websitedesign-toronto.com reserves the right to revise, amend, or modify our Terms of Agreement and our other policies and agreements at any time and in any manner. Notice of any revision, amendment, or modification will be posted in accordance with our Terms of Agreement.
