Virtual Assistance Terms & Conditions

Hereafter, the person/organisation/company purchasing the “Virtual Assistance” Plan(s) from http://www.voofa.ca or http://www.websitedesign-toronto or any of the direct/ redirect link to this page will be referred in this document as “Client” and VOOFA as the “Monthly Service Provider”.

This agreement is based on any past, present and or future service(s) provided by the Monthly Service Provider for the Client.

1. Authorization

The Client is engaging the Monthly Service Provider, as an independent contractor for the specific purpose of maintaining & updating a World Wide Web site that is existing or a World Wide Web site that is installed on the Client’s web space located on a hosting server of Clients choice. If need be, the Client hereby authorizes the Monthly Service Provider to access this account, and authorizes the Host Provider to provide the Developer with “write permission” for the Client’s web page directory, cgi-bin directory, and any other directories or programs which need to be accessed. The client also authorizes the Monthly Service Provider to use the login information to access the Domain, DNS, MX, and the Hosting account.

2. Monthly Updates

The Client agrees to let the Monthly Service Provider update and maintain their WordPress website on a Weekly & Daily basis. The Client understands that the Monthly Service Provider will make changes to the coding, database, feeds and all the other technical and non-technical features – as mentioned on this page to improve the overall exposure and performance of the website. This may include updating Client’s Social Media Pages, Graphics, third party AD’s and items contemplated in each of our Virtual Assistance Plans as mentioned on this page.

3. E-mail Assistance

The Monthly Service Provider may offer e-mail assistance to Clients who have their World Wide Web site residing on the Monthly Service Providers server. This includes a provision to assist the Client with e-mail setup using the maximum number of accounts allowed by the Monthly Service Provider. Current e-mail clients supported by the Monthly Service Provider include all versions of Microsoft Outlook Express and Outlook for all Microsoft Office products. In some cases where e-mail setup is not successful, the Client may have to contact their ISP (Internet Service Provider) for further assistance. For Clients who’s World Wide Web site resides off the Monthly Service Providers server, it is urged that the Client contact their Hosting Provider for e-mail assistance.

4. Links

This agreement contemplates that all the links that are being used on the website and the social media accounts are provided by the Client have been verified and approved for use on the Client’s World Wide Web site. The Monthly Service Provider takes absolutely NO RESPONSIBILITY in ANY suit(s) that are directed to the Client from links that have not been approved for use on the Clients World Wide Web site and Social Media accounts.

5. Cross Browser Compatibility

Our agreement contemplates the updates on a web site and social media are viewable by, Microsoft Internet Explorer 7.0+, Google Chrome. Compatibility is defined herein as all critical elements of each page being viewable in both browsers. Client is aware that some advanced techniques on the Internet, however, may require a more recent browser version and brand or plug-in. Client is also aware that as new browser versions of Internet Explorer and Chrome are developed, the new browser versions may not be backward compatible. If requested by the Client, time spent to redesign a site or fixing any issue for compatibility due to the introduction of a new browser version will be separately negotiated.

6. Graphics

It is anticipated that the Monthly Service Provider will create, capture or receive from the Client all graphic elements necessary to update the Client’s web site. This includes photography, scanning services or 3rd party stock photography as listed below:

6.1. Photography & Scanning

For Clients residing in the U.S and Canada, at the request of the Client the Monthly Service Provider will visit the Client’s place of business and capture images in digital format for inclusion on the Client’s web site. The Monthly Service Provider will also be able to scan images at the Client’s request. Due to the differing needs of Clients, quantity of digital photography and scans and costs incurred will be negotiated. Client agrees to pay for all additional travel, food and stay costs for our team involved in the process.

6.2. 3rd Party Stock Photography

Any costs incurred in purchasing 3rd party stock photography will be paid for by the Client. The Client takes full responsibility for any 3rd Party Stock Photography that he provides to the Monthly Service Provider by any medium and will hold harmless, protect, and defend the Monthly Service Provider and its subcontractors from any claim or lawsuit arising from the use of such elements furnished by the Client.

7. Text & Files

Text and any other file supplied by the Client shall be provided in popular readable electronic format (i.e. Microsoft Word / .jpg / .gif / .png). Submission can be made as: an email attachment; or a CD; or a DVD; or an external USB device. If the Monthly Service Provider is requested to obtain files by other means, then appropriate charges will incur.

8. Add-Ons

These are additional languages that the Client may wish to use for their World Wide Web site. If a large scale updates using any and or all of these add-ons is necessary, then price can be negotiated.

CGI / PHP / Macromedia Flash / DHTML / Real Audio/Video / QuickTime / QuickTime VR / Microsoft Media / Java Applets / JavaScript / MySQL Databases

E-commerce/Merchant Account/Secure Certificate The Monthly Service Provider recommends the use of your banks’ e-commerce services. If information is required, the Monthly Service Provider will be pleased to offer assistance in obtaining further information. The Client understands that any charges incurred directly or indirectly relating to e-commerce are not covered by the Monthly Service Provider.

9. Payment Terms

The Client agrees to pay the requested amount on this page in advance for each month. Monthly Service Provider reserves the right to hold the monthly services if payment is not made within five (5) days after the due date. If a payment delay is anticipated, please contact the Monthly Service Provider to discuss potential problems in advance. If problems are anticipated, we may be able to accommodate an alternate arrangement. If the Client is delinquent in their payment, the proper actions may be taken by the Monthly Service Provider and the account may be handed over to a 3rd party Collections Agency for proper handling.

10. Client Amends for New World Wide Web Sites, Social Media, Updates and Maintenance

The Monthly Service Provider prides itself in providing excellent customer service. That is the spirit of our agreement and the spirit of the Monthly Service Provider’s business. To that end, we encourage input from the Client during the Monthly Update process. The Monthly Service Provider understands, however, that the Client may request significant design changes to pages that have already been built to the Client’s specification. To that end, please note that our agreement does not include a provision for significant development in excess of our agreement. Our WordPress Maintenance plans are technical plans and NOT website design or content update plans.

Some examples of significant page modification at the request of the Client include:

  1. Developing a new structure to accommodate a substantial redesign at the Client’s request.
  2. Recreating or significantly modifying the company logo graphic at the Client’s request.
  3. Uploading and Replacing text, images to any given page at the Client’s request.
  4. Creating a new navigational structure or changing the link graphics at the Client’s request.
  5. Significantly reconfiguring the Client’s shopping cart with new product, shipping or discount calculation if an e-commerce enabled site has been selected by the Client.
  6. Clients who anticipate frequently changing the look of their site and are encouraged to buy our “Website Design” Plan.
  7. Any additional content update on the website other than the one already included in our Virtual Assistance Plan.

If significant development is requested by the Client in excess of our agreement, charge(s) will be invoiced accordingly.

11. Copyrights and Trademarks

The Client represents to the Monthly Service Provider and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to the Monthly Service Provider for inclusion in the Client’s web site owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend the Developer and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.

12. Third Party or Client Site Modification

Some Clients may desire to independently edit or update their web pages as a way to control costs and avoid the expense of a Maintenance Agreement. This is always an option for Clients of the Monthly Service Provider. If the Client desires this capability, it will be specified in writing to the Monthly Service Provider.

Note however, that if this option is selected and the Client or an agent of the Client other than the Monthly Service Provider attempts to update the web site and damages the design or impairs the ability for the web pages to display or function properly, time to repair the web pages will be assessed at the hourly rate of $120.

13. Search Engine Registration

The Monthly Service Provider will optimize the Client’s World Wide Web site and thereafter submit the Client’s World Wide Web to free search engines and directories.

14. Assignment of Monthly Updates

The Monthly Service Provider reserves the right to assign certain subcontractors to this monthly updates to insure the right fit for the job as well as on-time completion. The Monthly Service Provider warrants all work completed by subcontractors for consistent updates.

15. Additional Expenses

Client agrees to reimburse the Monthly Service Provider for any critical Client requested expenses necessary for the completion of the monthly/weekly updates. Examples would be: The purchase of specific fonts; the purchase of specific photography; the purchase of specific software; submittal to specific search engines at the Client’s request.

16. Age

Authorized representative of the Client certifies that he or she is at least 18 years of age and legally capable of entering a contract in the Province of Ontario on behalf of the Client.

17. Limited Liability

The Client agrees that any material submitted for publication will not contain anything leading to an abusive or unethical use of the Web Hosting Service, the Host Server or the Monthly Service Provider. Abusive and unethical materials and uses include, but are not limited to, pornography, obscenity, nudity, violations of privacy, computer viruses, harassment, any illegal activity, spamming, advocacy of an illegal activity, and any infringement of privacy. The Client hereby agrees to indemnify and hold harmless the Monthly Service Provider from any claim resulting from the Client’s publication of material or use of those materials. It is also understood that the Monthly Service Provider will not publish information over the Internet which may be used by another party to harm another. The Monthly Service Provider will also not develop pornographic or illegal software for the Client. The Monthly Service Provider reserves the right to determine what is and what is not suitable.

18. Indemnification

The Client agrees that it shall defend, indemnify, save and hold the Monthly Service Provider harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees associated with the Monthly Service Provider’s maintenance of the Client’s web site and social media. This includes Liabilities asserted against the Monthly Service Provider its subcontractors, its agents, its clients, servants, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by the Client, its agents, employee or assigns. The Client also agrees to defend, indemnify and hold harmless the Monthly Service Provider against Liabilities arising out of any injury to person or property caused by any products or services sold or otherwise distributed over the Client’s web site. This includes infringing on the proprietary rights of a third party, copyright infringement, and delivering any defective product or misinformation which is detrimental to another person, organization, or business.

19. Ownership to Web Pages and Graphics

Copyright to the finished assembled work of World Wide Web pages produced by the Monthly Service Provider and graphics shall be vested with the Client upon 30 days after the payment for the monthly updates is received. This ownership is to include design, photos, graphics, source code, work-up files, text, and any program(s) specifically designed or purchased on behalf of the Client for completion of this development. All materials developed that are intended for publication to the web remain the property of Monthly Service Provider until such time as 30 days after the payment for the maintenance has been tendered by the Client. At this time, all materials become the property of Client and may be used by them as desired. Should materials described in this agreement be used on the web by the Client before the tender of final payment, then this agreement is breached and appropriate penalties will apply.

20. Nondisclosure

The Monthly Service Provider, its employees and subcontractors agree that, except as directed by the Client, it will not at any time during or after the term of this Agreement disclose any Confidential Information to any person whatsoever. Likewise, the Client agrees that it will not convey any confidential information obtained about the Monthly Service Provider to another party.

21. Cancellation Policy

Cancellation of the WordPress Maintenance Plans must be notified sixty (60) days before the cancellation date via email/mail. In the event that updates are postponed or canceled at the request of the Client by email, the Monthly Service Provider shall have the right to retain 50% of the original payment as a deposit and maintenance expenses. In the event this amount is not sufficient to cover the Monthly Service Provider for time and expense already invested in the maintenance, additional payment may be due. If additional payment is due, this will be billed to the Client within 10 days of notification via email to stop monthly updates. Final payment will be expected under the same terms as listed in this agreement.

22. Entire Understanding

These terms thereto constitute the sole agreement between the Monthly Service Provider and the Client regarding any development provided by the Monthly Service Provider for the Client. It becomes effective immediately upon engagement of services from the Monthly Service Provider or buying WordPress Maintenance Plans as mentioned on this page. It is the spirit of this agreement that this will be a mutually beneficial arrangement for the Client and the Monthly Service Provider. Both parties warrant that they have read and understand the terms set forth in this agreement.

This agreement is effective on all the Clients that buy WordPress Monthly Plan from our website.

24. REVISIONS TO THESE TERMS OF AGREEMENT VOOFA | VOOFA.ca | Websitedesign-toronto.com reserves the right to revise, amend, or modify our Terms of Agreement and our other policies and agreements at any time and in any manner. Notice of any revision, amendment, or modification will be posted in accordance with our Terms of Agreement.
